Terms of Service

These Terms of Service (“Terms”) govern access to and use of DigitalPros.net and the websites, software, hosting, brand tools, artificial-intelligence features, communications, content tools, social publishing, billing features, and related services provided by Digital Pros LLC (“Digital Pros,” “we,” “us,” or “our”). By accessing or using the services, you agree to these Terms. If you use the services for a business or other organization, you represent that you have authority to bind that organization.
1. Scope and additional agreements
These Terms apply to the Digital Pros services that link to them. A proposal, order, subscription, statement of work, or other written agreement may include additional terms for a particular customer or service. If a separately signed agreement conflicts with these Terms, the signed agreement controls for that conflict.
Customer businesses may use Digital Pros to operate their own websites, forms, stores, agents, campaigns, member areas, or communications. Those businesses are responsible for their own offerings, notices, promises, and relationships with their users and customers.
2. Accounts and authority
You must provide accurate account information and keep it reasonably current. You are responsible for safeguarding your login credentials, limiting access to authorized people, and promptly notifying Digital Pros if you suspect unauthorized access. You may not share access in a way that defeats account permissions or security controls.
Brand owners and administrators are responsible for deciding who may access their brand, website, content, connected accounts, and customer information. Digital Pros may rely on instructions submitted through an authenticated account or by an authorized administrator.
3. Services and changes
Digital Pros may provide websites, hosting, brand and content management, AI-assisted creation, customer conversations, email and text-message delivery, payments, subscriptions, social account connections, publishing, analytics, automation, and related tools. Features may change as the platform develops. We may add, modify, limit, or discontinue a feature when reasonably necessary for security, legal compliance, provider changes, technical reliability, or product development.
Beta, preview, or experimental features may be incomplete, change without notice, or have additional limits. They should not be used as the sole basis for decisions where errors could cause significant harm.
4. Customer content and permissions
You retain ownership of content you or your authorized users submit, upload, connect, generate, or direct Digital Pros to publish (“Customer Content”). You grant Digital Pros a non-exclusive, worldwide license to host, store, reproduce, process, adapt for technical formatting, display, transmit, and publish Customer Content only as needed to provide, secure, support, and improve the requested services.
You represent that you have the rights and permissions needed for Customer Content and for any personal information, logos, photographs, music, video, trademarks, testimonials, claims, or third-party materials you provide. You are responsible for reviewing Customer Content for accuracy, legality, required disclosures, and suitability before publication.
5. Artificial-intelligence features
AI features may use prompts, Brand context, conversation history, files, media, and other authorized information to produce text, images, audio, video, recommendations, or actions. AI output may be incomplete, inaccurate, similar to content generated for others, or unsuitable for a particular purpose. You are responsible for human review of important facts, claims, rights, compliance, and final publication decisions.
AI output is not legal, medical, financial, tax, employment, or other professional advice. Do not rely on an AI feature for emergency services or as the only control for a high-impact decision. Digital Pros may use third-party AI providers selected for a feature, subject to the applicable privacy policy and provider terms.
6. Social accounts and publishing
When an authorized user connects Facebook, Instagram, X, or another social account, the user authorizes Digital Pros to access the account information and permissions needed to display connection status, prepare content, schedule approved content, publish content when directed, and report publishing results. Digital Pros does not ask for or store a social-platform password when the platform provides an authorization flow.
Brand owners may authorize or reconnect a pre-created account and select the applicable Facebook Page or professional Instagram account. Digital Pros brand managers or other expressly authorized administrators control account setup, content creation, scheduling, publishing, retries, cancellation, disabling, and disconnection according to assigned permissions.
You are responsible for complying with the connected platform’s terms, policies, content rules, and intellectual-property requirements. A platform may reject, remove, restrict, or change content or access independently of Digital Pros. You may revoke platform access through the platform or request disconnection through Digital Pros. 7. Communications
If you configure email, SMS, voice, chat, or messaging features, you are responsible for having the permissions and consents required to contact recipients and for honoring applicable opt-out requests. Digital Pros may send transactional or service communications needed for login, security, account administration, requested services, appointments, or support. Marketing communications must be sent only to recipients for whom the sender has an appropriate legal basis.
8. Fees, subscriptions, and payments
Fees, billing intervals, usage limits, included services, and cancellation terms are stated in the applicable order, subscription, invoice, or service agreement. By providing or approving a payment method, you authorize the charges described in that agreement, including recurring charges when applicable. Customer businesses using their own sites or paid offerings must use the payment account designated for that brand; Digital Pros does not become the seller of a customer’s products or services unless a written agreement expressly says otherwise.
Amounts are due when stated. Taxes, chargebacks, refunds, late fees, and cancellation rights are handled under the applicable agreement and law. Except where required by law or stated in writing, fees already earned or incurred are nonrefundable.
9. Acceptable use
You may not use the services to:
- violate law, another person’s rights, or a platform’s applicable terms;
- send spam, deceptive communications, unlawful marketing, malware, or abusive content;
- impersonate another person or misrepresent authority, affiliation, products, results, or endorsements;
- upload or publish content you do not have permission to use;
- probe, bypass, disable, or interfere with security, permissions, rate limits, or service operation;
- access another customer’s data or accounts without authorization;
- use automated activity that unreasonably burdens the services; or
- use the services for unlawful discrimination, exploitation, fraud, or conduct likely to cause serious harm.
We may investigate suspected misuse and may limit or suspend access when reasonably necessary to protect users, connected platforms, Digital Pros, or the public.
10. Digital Pros intellectual property
Digital Pros and its licensors retain all rights in the platform, software, templates, interfaces, documentation, trademarks, and other materials we provide, excluding Customer Content. Subject to these Terms and payment of applicable fees, Digital Pros grants you a limited, non-exclusive, non-transferable right to use the services for your authorized business purposes.
You may provide feedback. Unless agreed otherwise in writing, you grant Digital Pros permission to use non-confidential feedback without restriction or compensation.
11. Privacy and security
Our Privacy Policy explains how Digital Pros collects, uses, shares, protects, retains, and deletes personal information. You agree to maintain reasonable safeguards for information you control and to use the services in compliance with applicable privacy, security, advertising, and communications laws.
We use safeguards designed to protect the services, but no internet service or storage system is completely secure. You are responsible for maintaining backups or source copies of critical Customer Content when appropriate.
12. Third-party services
The services may depend on or link to third parties such as hosting providers, payment processors, AI providers, communications providers, analytics services, and social platforms. Their services, terms, privacy practices, availability, and decisions are controlled by them. Digital Pros is not responsible for a third party’s independent acts, outages, policy changes, content removal, or account restrictions, but we will use commercially reasonable efforts to support integrations we offer.
13. Suspension and termination
You may stop using the services, subject to any applicable order or subscription terms. Digital Pros may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, provider requirements, or conduct that threatens the services or other users. When reasonable, we will provide notice and an opportunity to cure before termination.
Upon termination, access may end and Customer Content may be deleted after applicable retention periods. Provisions that by their nature should survive—including payment obligations, intellectual-property terms, disclaimers, limitations of liability, and dispute terms—will survive.
14. Disclaimers
To the fullest extent permitted by law, the services are provided “as is” and “as available.” Digital Pros disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation, error-free output, particular business results, approval by a third-party platform, or that every defect will be corrected. These disclaimers do not limit warranties or rights that cannot legally be excluded.
15. Limitation of liability
To the fullest extent permitted by law, Digital Pros will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities, arising from or related to the services. Digital Pros’ total liability for claims relating to a service will not exceed the amount paid to Digital Pros for that service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Digital Pros and its personnel from third-party claims, damages, and reasonable costs arising from Customer Content, your products or services, your violation of law or third-party rights, or your material breach of these Terms. Digital Pros will provide reasonable notice of a covered claim and allow you to control the defense, subject to our right to participate with counsel of our choice.
17. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Unless a written agreement states otherwise, disputes that cannot be resolved informally will be brought in the state or federal courts located in Clark County, Nevada, and the parties consent to those courts’ jurisdiction. Nothing in this section prevents either party from seeking appropriate injunctive relief.
18. Changes to these Terms
We may update these Terms when our services, providers, or legal obligations change. We will post the revised Terms here and update the effective date. Material changes will apply prospectively, and we may provide additional notice when appropriate. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.
